Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Jaber AI chatbot platform and related services (the "Service"), operated by Jaber AI LLC ("Jaber AI", "we", "us"). By creating an account or using the Service, you ("Customer", "you") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Jaber AI lets you create AI chatbots, train them on content you provide, and embed them on your website to answer questions from your end users. The AI responses are generated using third-party large language models (see Section 10).

2. Accounts

You must provide accurate information and are responsible for all activity under your account and for keeping your credentials secure. You must be at least 18 years old and able to enter a binding contract. You are responsible for your end users' use of chatbots you deploy.

3. Subscriptions, billing & renewals

• Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe.
• Subscriptions renew automatically at the end of each billing period until cancelled.
• You can cancel or change your plan at any time via the billing portal; cancellation takes effect at the end of the current paid period.
• Fees are stated exclusive of taxes; you are responsible for applicable taxes, which may be added at checkout.
• Except where required by law, payments are non-refundable, and we do not provide refunds or credits for partial periods.
• We may change prices with reasonable notice; changes apply from your next billing period.

4. Usage limits

Each plan includes a monthly message allowance. If you reach your allowance, chatbots may stop responding until the next period or until you upgrade. We may apply reasonable rate limits and anti-abuse measures.

5. Your content

"Customer Content" means the material you upload or connect to train your chatbots, and messages exchanged between your chatbots and your end users. You retain ownership of your Customer Content. You grant us a limited licence to host, process, and transmit it solely to provide the Service. You represent that you have the rights to use the content you provide and that it does not infringe any third party's rights or violate any law.

6. Acceptable use

You agree not to use the Service to:

• break any law or regulation, or infringe others' rights;
• upload unlawful, harmful, hateful, or infringing content, or personal data you are not authorised to process;
• generate spam, scams, malware, or misleading or deceptive content;
• attempt to reverse engineer, disrupt, overload, or gain unauthorised access to the Service;
• resell or provide access to the Service in a way that competes with us, except as expressly permitted.

7. AI output disclaimer

Chatbot responses are generated automatically and may be inaccurate, incomplete, or inappropriate. Output does not constitute professional (legal, medical, financial, or other) advice. You are responsible for reviewing and configuring your chatbots and for any reliance on their output. You should not deploy chatbots for high-risk uses without appropriate human oversight.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Jaber AI and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use aggregated, de-identified data to operate and improve the Service.

9. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, other users, or third parties. On termination, your right to use the Service ends and we may delete your data after a reasonable period.

10. Third-party services

The Service relies on third parties including Anthropic (AI models), Supabase (database & hosting), Vercel (hosting), and Stripe (payments). Your use of the Service is also subject to their terms, and we are not responsible for their acts or omissions.

11. Warranties & disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, availability, accuracy, or non-infringement, to the maximum extent permitted by law.

12. Limitation of liability

To the maximum extent permitted by law, Jaber AI will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.

13. Indemnification

You will indemnify and hold Jaber AI harmless from claims, damages, and costs arising out of your Customer Content, your use of the Service, or your breach of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in the app). Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. You and Jaber AI LLC submit to the exclusive jurisdiction of the state and federal courts located in New Mexico for any dispute arising out of these Terms.
